Welcome to SANA Yoga Studios (“SANA,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your use of our websites, mobile services, online platforms, and participation in our classes, programs, and events (collectively, the “Services”).
By accessing or using our Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use our website or participate in our Services.

1. Ownership & Legal Entities
SANA Yoga Studios, LLC is the owner of all intellectual property, trademarks, digital content, and licensed materials associated with the SANA Yoga brand.
Certain studios operate as independent licensees under formal license agreements with SANA Yoga Studios, LLC, including:
  • Barefoot Holdings, LLC d/b/a SANA Yoga Memphis (“SANA East Memphis”)
  • Nine Yoga One, LLC (“SANA Yoga Downtown Memphis”)

Each licensed studio is independently owned and operated but authorized to use the SANA Yoga brand, curriculum, and service offerings.
Throughout these Terms, “SANA,” “we,” “us,” or “our” may refer collectively to SANA Yoga Studios, LLC and its licensed affiliates, as context requires.

2. Studio Services
SANA Yoga Studios and its licensees offer yoga, Pilates, HIIT, and recovery-based services including infrared sauna, cold plunge, sound therapy, functional wellness, and teacher training programs.
Class schedules, pricing, and service details vary by location and are subject to change without notice. All services are provided in accordance with the policies displayed on our website or within each studio.

3. Eligibility
You must be at least 18 years old, or 16 years old with a parent or guardian’s consent, to participate in SANA classes or purchase memberships. By using our Services, you represent that you meet these requirements and have the legal authority to agree to these Terms.

4. Health & Assumption of Risk
Participation in yoga, Pilates, HIIT, or recovery services involves inherent risks, including but not limited to physical exertion, dehydration, overexertion, muscle strain, or injury due to heat, equipment, or other participants.
By engaging in our Services, you voluntarily assume all such risks and release SANA Yoga Studios, LLC, Barefoot Holdings, LLC, Nine Om Yoga, LLC, and their respective owners, employees, contractors, and affiliates from liability for injury, illness, or damages arising from participation, except in cases of gross negligence or willful misconduct.
Always consult your physician before beginning any new fitness or wellness program.

5. Memberships, Purchases, and Payments
All memberships, class packages, and retail purchases are governed by the specific terms provided at the time of sale or within your membership agreement.

Pricing and duration vary by membership tier (Flex, Glow, Thrive, or other programs).
Payment processing is managed through trusted third-party platforms such as Mindbody and Stripe.

SANA does not store or process full credit card details.
Late or declined payments may result in service interruption and additional fees as stated in your membership agreement.

All sales are final unless otherwise stated in writing.

6. Cancellations, Freezes & Refunds
Cancellations and freezes must comply with your studio’s published policies.
We do not prorate or refund unused class credits, expired packages, or partial months of membership.
Workshops, events, and trainings may have their own cancellation timelines and refund terms listed at registration.
If you have questions about cancellations, contact the specific licensed studio where your membership or purchase was made.

7. Studio Conduct & Policies
To maintain a safe, respectful environment for all:
  • Phones, shoes, and personal items are not permitted in practice rooms.
  • Doors lock at class start time to preserve class integrity.
  • Please follow all posted rules and staff directions.
  • Personal belongings should be stored in designated areas.
  • SANA is not responsible for lost or stolen property.
  • Disruptive or unsafe behavior may result in denied access or membership termination.
All members agree to comply with SANA’s health, safety, and community standards.

8. Media & Likeness Release
By entering a SANA Yoga facility or attending an event, you grant permission for SANA Yoga Studios, LLC and its licensees to capture and use photos, video, or audio recordings that may include your image or voice for marketing, educational, and promotional purposes, in any media now known or later developed, without compensation.

You may opt out of future use by submitting a written request. While we will make reasonable efforts to honor opt-out requests for future use, we cannot remove materials already published or distributed.

9. Intellectual Property Rights
All website content, digital materials, class formats, teacher training curriculum, logos, and brand elements are the exclusive property of SANA Yoga Studios, LLC and protected under U.S. copyright, trademark, and trade secret laws.

Licensed studios operate under written agreements granting limited, non-transferable rights to use this intellectual property solely for authorized SANA Yoga programs.

You may not reproduce, distribute, or commercially exploit any SANA Yoga content without written permission from SANA Yoga Studios, LLC.

10. Third-Party Studios & Licensees
Each SANA Yoga licensee is independently owned and responsible for its own operations, staff, memberships, and member relations.
SANA Yoga Studios, LLC is not responsible for acts, omissions, or liabilities of independently owned studios.
If you have questions or disputes related to membership, billing, or services, please contact the specific studio location where your purchase was made.

11. Third-Party Services
Our website and booking systems integrate with third-party platforms such as Mindbody, Stripe, and Loyalsnap. These providers may collect or process personal data as described in our Privacy Policy.
SANA Yoga Studios, LLC is not responsible for the privacy practices, content, or performance of third-party sites.
Your use of those services is governed by their respective terms and policies.

12. Disclaimers
All Services, including classes, events, and website content, are provided “as is” and “as available.”
We make no representations or warranties of any kind, express or implied, regarding the completeness, reliability, or suitability of the Services or website content.
Participation in SANA Yoga programs does not guarantee specific physical, mental, or emotional results.

13. Limitation of Liability
To the fullest extent permitted by Tennessee law, SANA Yoga Studios, LLC, its licensees (including Barefoot Holdings, LLC and Nine Om Yoga, LLC), and their respective employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, or consequential damages arising from your participation in our Services or use of our website.
Your sole remedy for dissatisfaction with the Services is to discontinue use.

14. Indemnification
You agree to defend, indemnify, and hold harmless SANA Yoga Studios, LLC, its licensees, owners, employees, and affiliates from and against any claims, losses, liabilities, or expenses (including attorney’s fees) arising from your violation of these Terms, misuse of our Services, or negligent conduct.

15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of law provisions.

Any dispute arising under or related to these Terms shall be brought in the courts of Shelby County, Tennessee, unless arbitration is required by a signed membership or training agreement.

If arbitration applies, it shall be conducted before a single neutral arbitrator in Memphis, Tennessee, under the rules of the American Arbitration Association.

16. Changes to These Terms
We may modify or update these Terms at any time. Updates will be posted on this page with a revised “Effective Date.”
Your continued use of the website or participation in our Services after such updates constitutes your acceptance of the modified Terms.

  • Service Providers are third parties who process data on our behalf (e.g. payment processors, class registration software, hosting, analytics).

2. Information We Collect & How
We collect several types of information depending on how you interact with us:
  • Registration and Account Information:
  • This includes your name, email address, phone number, and mailing address.
  • Collected from you directly when you sign up or register for classes.
  • Used to create and manage your account, communicate with you, and handle scheduling or class bookings.
  • Payment and Transaction Data:
    This includes billing information such as your credit card details, billing address, and payment history.
    Collected from you and processed securely by our third-party payment processors (Mindbody, Stripe, and Loyalsnap).
    Used only to process payments, issue refunds, and manage related customer service needs. We do not store full card numbers ourselves.
  • Usage and Technical Data:
    This includes your IP address, browser type, device information, pages visited, and the date and time of visits.
    Collected automatically when you use our website or mobile applications.
    Used for analytics, improving website performance, and maintaining system security.
  • Photos, Video, and Likeness:
    During classes or events, we may take still photos, video, or short clips that could include your likeness or voice.
    Collected during in-studio or event participation.
    Used for marketing, promotional, educational, and community purposes, such as social media posts or our website.
    You can opt out by contacting us directly; however, we may not be able to remove past published materials.
  • Communications and Feedback:
    This includes messages, reviews, surveys, or other feedback you voluntarily share with us.
    Collected from you directly.
    Used to improve our services and how we communicate with you.

Notes / important caveats:
  • We do not store your full card number ourselves; payment data is handled by third parties (Mindbody, Stripe, etc.).
  • For photos/videos in class: by participating in classes or signing our enrollment forms, you grant us a license to use your likeness in promotional materials, social media, website, etc. You may opt out by contacting us (subject to us removing future usage).
  • If a class or event is being recorded (video or photos), we will make a notice in advance (e.g. signage or verbal announcement).

3. Use of Information
We use your information (or have it processed) for:
  • Providing and managing classes, scheduling, and our Service
  • Processing payments, refunds, customer support
  • Communicating with you (updates, marketing, announcements)
  • Marketing, promotions, social media, remarketing
  • Analytics, improving our offerings, system security
  • Legal compliance, audits, fraud prevention, dispute resolution
  • Business transactions (mergers, sales), when necessary

4. Disclosure & Sharing
We may disclose your information under the following circumstances:
  • Service Providers / Contractors: to Mindbody, Loyalsnap, Stripe, hosting providers, analytics firms, email providers, etc. (these entities process data per contractual constraints).
  • Legal / Safety: to comply with laws, court orders, respond to official requests, protect rights, prevent harm or fraud.
  • Business Transfers: in connection with a merger, acquisition, sale of assets—your data may be one of the assets transferred, with notice.
  • With Consent: when you explicitly permit further sharing (e.g. third-party marketing partners).

We require Service Providers to maintain confidentiality, use adequate data security measures, and restrict use to purposes we allow.

We do not sell your personal information for profit (unless we explicitly notify you and obtain consent).

5. Data Retention & Deletion
  • We retain your personal information as long as needed to fulfill the purposes listed (e.g. manage your account, legal obligations, dispute resolution).
  • When no longer needed, we will delete or anonymize the data, unless laws or contract require otherwise.
  • You may request deletion of your information (subject to regulatory or contractual constraints).
  • Some data (e.g. transaction records, tax or business records) we may be legally required to keep for a defined retention period under Tennessee law or IRS rules—those will be retained notwithstanding a deletion request, but only used for limited, lawful purposes.

6. Your Rights & Controls
Depending on where you reside and applicable law, you may have rights such as:

  • Correct / update inaccurate information
  • Delete your personal data (subject to limits)
  • Restrict processing or object to certain uses
  • Withdraw consent (for processing that required consent)
  • Opt out of marketing / promotional communications
  • If your class was recorded and you wish your likeness removed where possible, you may request it

7. Cookies & Tracking
We and our partners use cookies, web beacons, and similar technologies to collect Usage Data, to track activity, for analytics, personalization, advertising (where permitted), and site functionality.

We also may use pixel tags, remarketing, or social media integrations (e.g. Facebook Pixel) — your IP and anonymous identifiers may be collected by those third parties.

8. International / Cross-Border Transfer
Your information may be stored, processed, or transferred to locations outside your jurisdiction (e.g. outside Tennessee or the U.S.) when necessary or by our Service Providers. We will use contractual, technical, or organizational safeguards to protect your data consistent with applicable law.

9. Security
We implement commercially reasonable and appropriate technical, administrative, and organizational measures to protect your personal data from unauthorized access, alteration, disclosure, or destruction.

However, no system is absolutely secure. Use of the Service is at your risk as to absolute security.

10. Children & Minors
Our Service is not directed to children under the age of 13. We do not knowingly collect personal data from anyone under 13. If you become aware a child under 13 provided us data without parental consent, contact us so we may delete it.

If applicable law requires parental consent for minors between ages 13–18, we will comply.

11. Changes to This Policy
We may update this Privacy Policy over time. When we do, we will post a revised version on this page and update the “Last Updated” date. If changes are significant, we will provide notice via email or a prominent notice on our site before the changes take effect.

Your continued use after changes means acceptance of the updated policy.

Studio Policies

Welcome to SANA Yoga Studios. We’re committed to maintaining a positive, respectful, and organized environment for every guest.
Please review the following policies that help us provide a high-quality experience for all members and clients.

GENERAL STUDIO POLICIES
  • Arrival: Doors open 15 minutes before class. Please arrive early to check in, settle in, and respect the quiet atmosphere of the studio.
  • Entry: Doors lock promptly at class start time for safety and to maintain heat integrity. Late entry is not permitted.
  • Phones & Devices: Phones, smartwatches, and recording devices are not allowed inside the practice rooms.
  • Shoes & Belongings: Shoes are not permitted in yoga or recovery rooms. Store belongings in designated cubbies or lockers.
  • Scent & Hygiene: Please avoid heavy perfumes or lotions. Bring your own mat and towel or rent them at the front desk.
  • Respect the Space: Refrain from loud conversation inside studio rooms. Maintain a clean and mindful environment.
  • Heat & Hydration: Many classes are heated. Bring water and hydrate before, during, and after class. Only clear liquids (no glass) are permitted in the practice rooms.

SANA Yoga Studios reserves the right to refuse service or entry for unsafe, disruptive, or disrespectful behavior.

CLASS CANCELLATIONS
Our classes often fill quickly. Cancel early when possible to allow other members to attend.
  • Group Classes (Yoga, Pilates):
    Cancel at least 2 hours before class to avoid a late cancellation fee.
    Late cancels or no-shows may result in a $15 fee or the loss of a class credit, depending on your package. While we don’t always charge late fees, we reserve the right to apply them during peak seasons or for select classes to keep things fair for everyone.
  • Late Arrival:  Doors lock at the scheduled class time. Missed entry is considered a no-show.
  • Waitlist Policy:
    If you’re added from a waitlist, normal cancellation policies apply once your spot is confirmed.

RECOVERY SERVICES (Infrared Sauna, Cold Plunge, Sound Therapy)
  • Appointments must be canceled or rescheduled with at least 12 hours’ notice.
  • Late cancellations or missed appointments will be charged the full session fee or result in the loss of a package credit.
  • Please arrive 5–10 minutes early to allow adequate time for setup and cleanup.

EVENTS, WORKSHOPS & TRAININGS
  • Unless otherwise specified, cancellations must be received at least 24 hours before the event start time.
  • Cancellations made less than 24 hours in advance—or no-shows—will be charged the full registration value.
  • Multi-day training and specialty programs may have unique cancellation windows; refer to the registration page for specific terms.

PRIVATE LESSONS & PERSONAL TRAINING
Private sessions require at least 24 hours’ notice to cancel or reschedule.
Late cancellations or no-shows will be charged the full session fee.
Repeated late cancellations may affect future booking privileges.

MEMBERSHIP FREEZE & CANCELLATION
  • Members may freeze or cancel memberships in accordance with the policies outlined in their individual Membership Agreement.
  • Written notice is required by email at least 30 days in advance of the next billing cycle.

LATE FEES
  • A late cancel or no-show fee may be charged for select classes as noted at booking.
  • Members with autopay contracts must maintain a valid payment method on file.
  • Payments that fail or are declined are subject to a $35 late fee if not resolved within three (3) days of notification.

ILLNESS & EMERGENCIES
We understand emergencies happen. Please contact the studio directly if an illness or unexpected event prevents attendance. Exceptions may be made at management’s discretion.
